Welcome to Uyalu. Uyalu LLC and its affiliates (“Uyalu,” “we,” “us,” or “our”) provide an app discovery platform and related services accessible at uyalu.com and through our mobile experiences (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms of Service (the “Terms”). If you do not agree with any part of the Terms, do not use the Service.

1. Acceptance of Terms

Your use of the Service constitutes your agreement to these Terms and our Privacy Policy. We may modify the Terms from time to time. We will post any material changes and the effective date on uyalu.com. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms.

2. Changes to the Service and Terms

Uyalu reserves the right to modify, suspend, or discontinue the Service or any portion thereof at any time with or without notice. We may also update, modify, or remove features, content, or functionality. We will strive to provide reasonable notice for material changes where practicable. It remains your responsibility to review these Terms periodically for changes.

3. Intellectual Property

All rights, title, and interest in and to the Service, including but not limited to software, text, graphics, logos, images, and audiovisual content, are owned by Uyalu or its licensors. The Uyalu name and logo and other marks used in connection with the Service are protected by trademark laws and other intellectual property rights. You may use the Service only as expressly permitted by these Terms and for your personal, non-commercial use unless Uyalu explicitly provides otherwise in writing.

Nothing in these Terms grants you ownership rights in the Service or its contents. You may not copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Service in any form or by any means, except as follows: (a) your computer may temporarily store copies of information essential to the Service’s operation, (b) you may print or download extracts of your account information for your own records, and (c) you may share links to the Service in accordance with the intended use. Any other use requires prior written permission from Uyalu.

4. Third-Party Links and Apps

The Uyalu Service aggregates and presents app listings that direct you to third-party platforms where the apps are hosted and made available. Uyalu does not host or control the apps themselves, nor does the Service host the apps. We provide descriptive content, links, and metadata to assist in discovery; we do not guarantee the availability, safety, legality, or continued operation of any third-party app.

Many listed apps are hosted on Google Play. By selecting an app listing, you will be redirected to Google Play, and your use of that app will be governed by Google Play’s terms of service and privacy policy. Uyalu disclaims responsibility for Google Play’s terms, policies, content, and actions. Your interactions with Google Play or any third-party service are solely between you and the third party, and Uyalu shall not be liable for any damages or losses arising from such interactions.

5. User Content

You may submit reviews, ratings, comments, or other content on the Service (“User Content”). By submitting User Content, you grant Uyalu a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, translate, distribute, display, and perform such User Content in connection with the Service. You represent that you own or have the necessary rights to submit the content and that it does not violate any laws or infringe the rights of others. Uyalu may remove or modify User Content at our discretion and without prior notice.

6. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, UYALU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, ACCURACY, OR NON-INTERFERENCE. UYALU DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THIRD-PARTY LINKS AND CONTENT ARE PROVIDED FOR CONVENIENCE AND DO NOT REPRESENT AN ENDORSEMENT BY UYALU. WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY THIRD-PARTY APP, ITS CONTENT, OR ITS FUNCTIONALITY.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UYALU AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL UYALU’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO UYALU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Uyalu and its officers, directors, employees, affiliates, and contractors from and against any claims, damages, obligations, losses, liabilities, costs, or debts arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your infringement of any third-party rights, including without limitation intellectual property rights and privacy rights.

9. Termination

We may suspend or terminate your access to the Service at our sole discretion for conduct that violates these Terms or for any conduct that Uyalu believes may harm other users or the Service. Upon termination, your right to use the Service ceases immediately, and you may lose access to your content and data associated with your account.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Uyalu is incorporated, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall be resolved in the appropriate courts located in that jurisdiction, subject to applicable consumer protection laws.

11. Privacy

Our Privacy Policy explains how we collect, use, and disclose information about you. By using the Service, you consent to the practices described therein. The Privacy Policy is incorporated into these Terms by reference and forms a part of the binding agreement between you and Uyalu.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely reflects the parties’ original intent.

13. Entire Agreement

These Terms, together with the Privacy Policy and any applicable policies, constitute the complete and exclusive understanding between you and Uyalu regarding the Service and supersede all prior agreements or communications, whether written or oral, relating to the subject matter hereof.
